Welcome to NIZMA. NIZMA is a trade name and technology platform affiliated with Al Bard Al Fakher Establishment, which owns and operates the platform. Scope of Service NIZMA provides an electronic platform for managing business, operational, and financial activities of establishments. Depending on the subscribed plan and enabled features, the services may include: Sales and invoice management. Point of Sale. Purchases. Products, inventory, and warehouses. Customers and suppliers. Financial and accounting operations. Journal entries and accounts. Reports. Users, roles, and permissions. Branches and warehouses. Other features that may be added or developed from time to time. Certain features and limits may vary depending on the subscribed plan or subscription status. The availability of a feature in one part of the platform does not constitute a commitment to make that feature available under all plans. 2. User Eligibility and Authority When creating an account for an establishment, the user represents that they are authorized to create the account and use NIZMA on behalf of the establishment they represent. The account owner is responsible for determining which users are authorized to access the establishment and for assigning appropriate permissions to each user. 3. Account Creation and Login Credentials The user must provide accurate and up-to-date information when registering for and using the platform. The user is responsible for maintaining the confidentiality of login credentials and verification methods and must not share them with unauthorized persons. NIZMA must be notified if unauthorized use of an account is suspected. 4. Lawful Use NIZMA may be used for the customer's lawful commercial or professional activities. The platform may not be used for any activity that violates the laws and regulations applicable in the Kingdom of Saudi Arabia. The following are also prohibited: Attempting to access accounts or data belonging to other establishments without authorization. Circumventing permissions or security measures. Using the platform to distribute or execute malicious software. Interfering with the stability or security of the service. Extracting, copying, or reselling substantial parts of the platform without authorization. Attempting to gain unauthorized access to the software code or internal infrastructure of the system. 5. Customer Data Business data entered by the customer into NIZMA remains owned by the customer or its respective owners, as applicable. This includes, for example, data relating to products, customers, suppliers, invoices, sales, purchases, inventory, accounts, and users. Ownership of such data does not transfer to NIZMA as a result of its use within the platform. The customer grants NIZMA the authority necessary to process the customer's data to the extent required to provide the service, operate its features, protect and store the data, maintain backups, and carry out operations requested by the user. 6. Responsibility for Data The customer is responsible for the accuracy of the data entered into or imported to NIZMA. The customer is also responsible for having the lawful basis or necessary authority to enter data relating to individuals, customers, employees, suppliers, and others into its account. 7. Financial and Accounting Data NIZMA is a technology tool for managing business, financial, and accounting operations. Many calculations, results, and reports depend on the data and settings entered by the user. The customer must review its data, settings, invoices, journal entries, and reports before relying on them for decision-making or fulfilling regulatory obligations. NIZMA is not an accounting firm or a legal or tax advisory firm, and use of the platform does not replace obtaining professional advice when the nature of the customer's business requires it. 8. Taxes, Electronic Invoicing, and Regulatory Requirements The platform may include features that assist the customer in preparing or managing tax information, electronic invoices, or regulatory requirements. The availability of any technical feature does not mean that the customer or its establishment automatically complies with all applicable regulatory requirements. The customer is responsible for the accuracy of its establishment information, settings, tax classification, and for determining which regulatory requirements apply to it. No description of the service may be interpreted as a certification or approval by any regulatory authority unless this is expressly stated and such certification or approval has actually been obtained. 9. Subscriptions and Plans NIZMA may offer its services through a trial period, paid plans, or other subscription models that may be announced from time to time. The subscription page or offer applicable at the time of contracting will specify: Price. Subscription duration. Features. Limits. Any commercial terms specific to the plan. Future prices, plans, or features may be changed, provided that such changes do not affect rights that may not lawfully be waived or restricted. 10. Trial Period If the customer is granted a trial period, the customer may use the available features during that period within the applicable limits. Certain features may become unavailable after the trial period ends unless the customer subscribes to the required plan. 11. Payment and Renewal Fees are due according to the agreed subscription cycle or offer. Automatic renewal or automatic charging will not occur unless the payment method and service used provide for such renewal or charging and this has been clearly disclosed to the customer. Certain services may be restricted when a subscription expires and is not renewed, in accordance with the mechanism stated on the platform. 12. Cancellation and Refunds Cancellations and refunds are subject to the terms of the offer or subscription applicable at the time of purchase and to the laws and regulations applicable in the Kingdom of Saudi Arabia. Nothing in these Terms shall be interpreted in a manner that waives any right that may not lawfully be waived. 13. Service Availability and Maintenance NIZMA seeks to provide the service in a stable and secure manner. However, electronic services may occasionally be affected by maintenance, updates, technical failures, or circumstances beyond reasonable control. Updates and maintenance may be carried out to improve performance or security or to add new features. NIZMA does not guarantee any specific level of service availability unless expressly agreed under a separate contract or agreement. 14. Backups NIZMA may create operational backups of data in accordance with its technical policies and procedures. This does not relieve the customer of its responsibility to retain copies of documents or records where the nature of its business or applicable laws and regulations require such records to be retained. 15. Account and Platform Security NIZMA takes reasonable technical and organizational measures to protect the platform and data. Users must also take appropriate measures to protect their accounts, devices, passwords, and those of their employees. NIZMA may implement security controls such as additional verification, session termination, login-attempt limitations, or suspension of suspicious activity. 16. External Services and Third Parties Certain NIZMA features may rely on third-party service providers, infrastructure, or external services. Such services may also be subject to the terms and policies of their respective providers where applicable. NIZMA is not responsible for interruptions to external services that are beyond its reasonable control. 17. Intellectual Property All rights relating to the NIZMA software, designs, trademarks, interfaces, software components, and proprietary content belong to Al Bard Al Fakher Establishment or to third-party rights holders who have licensed such rights to it, as applicable. Use of the platform does not grant the customer any ownership rights in the software itself. 18. Account Suspension or Termination An account may be restricted or suspended where there is a legitimate reason, including: Failure to pay amounts due. Unlawful use. A security threat. An attempt to harm the platform or its users. A material breach of these Terms. Customer data will be handled upon termination of the relationship in accordance with applicable laws and regulations, the Privacy Policy, and the operational policies then in effect. 19. Limitation of Liability NIZMA exercises reasonable care in developing, operating, and protecting the platform. To the extent permitted by applicable laws and regulations, NIZMA shall not be responsible for consequences resulting from incorrect data entered by the user, actions taken by a user whom the customer has authorized to access the account, business or accounting decisions made without appropriate review, or interruptions to external services beyond NIZMA's control. Nothing in this clause shall be interpreted as excluding or limiting any liability that may not lawfully be excluded or limited. 20. Privacy Policy The processing of personal data is governed by the Privacy Policy published on NIZMA, and the Privacy Policy forms an integral part of these Terms. 21. Amendments to the Terms These Terms may be updated when the service is developed or when regulatory or operational requirements change. The platform retains versions of its legal documents and their effective dates, and users may be required to agree to a new version when a change requires renewed consent. 22. Governing Laws and Jurisdiction These Terms are governed by the laws and regulations applicable in the Kingdom of Saudi Arabia. The parties will first seek to resolve any dispute amicably. If this is not possible, jurisdiction shall lie with the competent judicial authority in accordance with the applicable laws and regulations. 23.
